December 10, 2025 9:21 AM EST

Dropbox Inc. (NASDAQ: DBX) announced Ross Tennenbaum will become chief financial officer effective December 16, replacing Timothy Regan who resigned after more than five years in the role.

Regan notified the company of his resignation on December 5 and will continue as a non-executive employee through March 15, 2026 to ensure transition. He will receive a $250,000 advisory fee for his continued service. The company stated his resignation reflects his intention to pursue the next chapter of his career and did not involve disagreement with the company.

Tennenbaum, 47, most recently served as president of Avalara, a tax and compliance company, from April 2024 to December 2025. He previously held the CFO role at Avalara from April 2020 to April 2024. Before Avalara, he worked in software investment banking at Goldman Sachs from 2014 to 2019 and Credit Suisse from 2009 to 2014.

Under his compensation agreement, Tennenbaum will receive an annual base salary of $550,000 and be eligible for performance-based bonuses targeting 100% of his base salary. He will also receive a $350,000 signing bonus and restricted stock units valued at $23.25 million that vest over four years.

Separately, Dropbox announced it expects fourth quarter and fiscal 2025 financial results to meet or exceed previously provided guidance ranges from November 6.

"Ross brings a strong combination of financial acumen, operational experience, and deep knowledge of the tech landscape," said CEO Drew Houston in a statement.
