Vivos Therapeutics raises $4.64 million through warrant exercise

Vivos Therapeutics Inc. (NASDAQ: VVOS) announced it entered into an agreement for the immediate exercise of outstanding warrants to purchase 1,982,356 shares at a reduced exercise price of $2.34 per share, generating approximately $4.64 million in gross proceeds.

The warrants were originally issued between January 2023 and February 2024 with exercise prices ranging from $3.83 to $5.05 per share. The shares issuable upon exercise are registered for resale under an effective registration statement.

As part of the transaction, the company will issue new unregistered warrants to purchase up to 3,964,712 shares at an exercise price of $2.09 per share in a private placement. Half of these new warrants will expire in five years, while the remaining half will expire in 24 months.

H.C. Wainwright & Co. serves as the exclusive placement agent for the offering. The transaction is expected to close on or about January 20, 2026, subject to customary closing conditions.

The company stated it intends to use net proceeds for working capital and general corporate purposes. Vivos has agreed to file a registration statement with the Securities and Exchange Commission covering the resale of shares issuable upon exercise of the new warrants.

Vivos Therapeutics develops medical devices and healthcare services focused on sleep-related breathing disorders, including obstructive sleep apnea. The company's devices have received FDA clearance for treating OSA in adults and children.
