Super Micro Computer (SMCI) prices 2.1M shares at $262

Super Micro Computer (NASDAQ: SMCI) announced the pricing of its previously announced underwritten public offering of 2,100,700 shares of its common stock, which includes 100,700 shares offered by certain selling stockholders, at a public offering price of $262.00 per share. Additionally, the Company has granted the underwriters a 30-day option to purchase up to an additional 315,105 shares of common stock at the public offering price, less underwriting discounts and commissions. The gross proceeds to Supermicro are expected to be $524 million before deducting underwriting discounts, commissions and estimated offering expenses, and assuming no exercise of the underwriters’ option to purchase additional shares. The offering is expected to close on or about December 5, 2023, subject to customary closing conditions.

The Company currently intends to use the proceeds from the offering to support its operations, including for working capital needs, manufacturing capacity expansion and increased R&D investments.

J.P. Morgan, BofA Securities and Goldman Sachs & Co. LLC are acting as lead book-running managers for the offering. Wells Fargo Securities, Barclays, UBS Investment Bank, BMO Capital Markets, KeyBanc Capital Markets, Needham & Company and Piper Sandler are acting as joint bookrunners. CJS Securities, Loop Capital Markets, Northland Capital Markets, Rosenblatt Securities and ING are acting as co-managers.
