Siyata Mobile (NASDAQ: SYTA) has filed for up to 7,000,000 share and warrant offering:
We are offering on a best-efforts basis up to 7,000,000 common shares, no par value per share (each a “Common Share” and together, the “Common Shares”).
We are also offering to certain purchasers whose purchase of Common Shares in this offering would otherwise result in the purchaser, together with its affiliates and certain related parties, beneficially owning more than 4.99% (or, at the election of the purchaser, 9.99%) of our outstanding Common Shares immediately following the consummation of this offering, the opportunity to purchase, if any such purchaser so chooses, pre-funded warrants, or the pre-funded warrants, in lieu of Common Shares that would otherwise result in such purchaser’s beneficial ownership exceeding 4.99% (or, at the election of the purchaser, 9.99%) of our outstanding Common Shares. The purchase price of each pre-funded warrant is $1.39 (which is equal to the assumed public offering price per Common Share to be sold in this offering minus $0.01, the exercise price per Common Share of each pre-funded warrant). The pre-funded warrants are immediately exercisable (subject to the beneficial ownership cap) and may be exercised at any time until all of the pre-funded warrants are exercised in full. For each pre-funded warrant we sell (without regard to any limitation on exercise set forth therein), the number of Common Shares we are offering will be decreased on a one-for-one basis. We are also registering the Common Shares issuable from time to time upon the exercise of the pre-funded warrants offered hereby. We refer to the Common Shares and pre-funded warrants, if any, collectively, as the Securities.
