Simmons First National prices stock offering at $18.50 per share

Simmons First National Corporation (NASDAQ: SFNC) announced the pricing of its public offering of 16,220,000 shares of Class A common stock at $18.50 per share, raising $300,070,000 in aggregate proceeds.



The Pine Bluff, Arkansas-based financial holding company granted underwriters a 30-day option to purchase up to an additional 2,433,000 shares at the same price, less underwriting discounts. The company expects to close the offering on July 23, 2025, subject to customary conditions.



Simmons intends to use net proceeds for general corporate purposes, which may include investments in its subsidiary Simmons Bank to support potential balance sheet repositioning and continued growth.



Stephens Inc., Keefe, Bruyette & Woods (A Stifel Company), and Morgan Stanley serve as joint book-running managers for the offering. Raymond James & Associates, Inc. and Robert W. Baird & Co. Incorporated act as co-managers.



The offering is being conducted under an effective automatic shelf registration statement on Form S-3ASR previously filed with the Securities and Exchange Commission. Simmons First National Corporation is the parent company of Simmons Bank, which operates more than 220 branches across Arkansas, Kansas, Missouri, Oklahoma, Tennessee and Texas.



The company has paid cash dividends to shareholders for 116 consecutive years. Its common stock trades on the NASDAQ Global Select Market under the symbol "SFNC."
