Signing Day Sports closes $5.6 million public offering

Signing Day Sports Inc. (NYSE American: SGN) completed a public offering of 9,483,500 shares of common stock with accompanying warrants to purchase 14,225,250 additional shares, the company announced. The offering price was $0.5905 per share and warrant.

The warrants carry an initial exercise price of $0.7086 per share and include provisions for zero cash exercise based on a formula with a floor price of $0.6760 per share, subject to beneficial ownership limitations. The warrants expire on the earlier of full exercise, five years from initial exercise, or completion of a business combination agreement dated May 27, 2025, involving BlockchAIn Digital Infrastructure Inc. and related entities. Warrant holders may exercise on a zero cash basis until January 23, 2026.

The company received gross proceeds of approximately $5.6 million before deducting underwriting fees and other offering expenses. Maxim Group LLC served as sole book-running manager.

The shares and warrants were sold together but issued separately and became immediately separable upon issuance. Signing Day Sports develops a mobile application and platform designed to assist high school athletes with college recruitment processes.

The Securities and Exchange Commission declared the company's registration statement on Form S-1 effective on January 13, 2026. The offering was conducted through a prospectus filed with the SEC.
