Satellogic announces public offering of Class A common stock

Satellogic Inc. (NASDAQ: SATL) announced plans for an underwritten public offering of Class A common stock. The company intends to grant underwriters a 30-day option to purchase additional shares equal to up to 15% of the shares sold in the offering.
Cantor and Titan Partners Group, a division of American Capital Partners, will serve as joint bookrunning managers for the offering. The company plans to use net proceeds for general corporate purposes.
The offering is subject to market conditions, and completion cannot be assured. Terms and size of the offering have not been finalized. All shares will be sold by the company.
Satellogic is conducting the offering under a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission, which became effective March 31, 2025. A preliminary prospectus supplement was filed October 15, 2025.
The company describes itself as a vertically integrated geospatial company that provides Earth observation data. Founded in 2010, Satellogic operates satellites that capture high-resolution images for applications including climate monitoring, energy supply analysis, and food security assessment.
