Rezolve Ai clarifies SEC filing was administrative, not dilutive

Rezolve Ai (NASDAQ: RZLV) stated that its recent Form F-3 filing with the Securities and Exchange Commission was administrative in nature and did not create dilution for existing shareholders.
The company filed the Form F-3 registration statement on September 25 to re-register shares previously registered on Form F-1. The registered shares were already outstanding and held by investors, with no new shares issued in connection with the filing. Rezolve said the Form F-3 filing allows prior investors flexibility while reducing administrative costs for maintaining registration statements.
The company completed a $200 million capital raise on September 26 and plans to register those shares for resale on Form F-3 in coming days, consistent with previously disclosed agreements.
Rezolve highlighted partnerships with Microsoft and Google that involve joint go-to-market commitments and technical integration. Microsoft executive Nick Parker and Google's Tara Brady have described Rezolve as a strategic partner in retail AI development.
The company reported customer results including a 35% year-over-year increase in visual image search adoption at Myntra and a 10% conversion uplift at DFS furniture retailer. Crate & Barrel also implemented Rezolve's AI-powered product discovery solutions.
Rezolve expects to announce first half 2025 financial results on October 1, 2025. The company said its proprietary brainpowa LLM has been engineered to achieve zero hallucinations in enterprise deployments.
