Rezolve AI raises $50 million in private placement from institutions

Rezolve AI (NASDAQ: RZLV) announced it entered into agreements with two institutional investors for a private placement totaling approximately $50 million in gross proceeds, before fees and expenses.

The offering is expected to close on or about July 25, 2025, subject to customary closing conditions. The company plans to use proceeds for working capital, potential acquisitions, and general corporate purposes.

A.G.P./Alliance Global Partners serves as lead agent and H.C. Wainwright & Co. acts as co-lead agent for the offering.

The securities are being sold through a private placement under Section 4(a)(2) of the Securities Act of 1933 and Regulation D, exempting them from registration requirements. The securities cannot be offered or sold in the United States without registration or an applicable exemption.

Rezolve AI operates as an artificial intelligence company focused on retail customer engagement solutions through its Brain Suite platform.
