Rezolve AI raises $250 million in registered direct offering

Rezolve AI (NASDAQ: RZLV) announced it has entered into securities purchase agreements for a registered direct offering of 62.5 million ordinary shares at $4.00 per share, according to a company statement. The offering will generate approximately $250 million in gross proceeds before deducting placement agent commissions and other expenses.
The closing is expected to occur on or about January 21, 2026, subject to customary closing conditions. The offering involves both existing and new institutional investors.
The company stated it plans to use net proceeds for investment in its sales organization, potential merger and acquisition opportunities, and general corporate and working capital purposes.
A.G.P./Alliance Global Partners serves as lead placement agent, with Titan Partners and Maxim Group LLC as co-placement agents. Cantor Fitzgerald & Co., Roth Capital Partners, and Northland Capital Markets acted as financial advisors.
The offering is conducted under an effective shelf registration statement on Form F-3 that was declared effective by the Securities and Exchange Commission on December 19, 2025. A prospectus supplement and accompanying prospectus will be filed with the SEC.
Rezolve AI describes itself as a provider of AI-powered solutions for customer engagement and operates what it calls a "Brain Suite" platform for commerce applications.
