Quantum Cyber terminates share sales facility citing strong finances

Quantum Cyber N.V. (NASDAQ: QUCY) terminated its at-the-market share issuance agreement with Maxim Group LLC effective June 7, the company announced. The facility, originally established in October 2025 and amended in May 2026, had not been used in the past two months.

The defense technology company cited its strengthened financial position following more than $15 million in warrant exercise proceeds received in May 2026. The company stated it determined the facility was no longer necessary to support its operating or strategic objectives.

Quantum Cyber reported it currently maintains a debt-free capital structure with no exercisable warrants outstanding. The company said its existing cash position provides sufficient funding for continued development of its autonomous defense platform, technology licensing pipeline, patent prosecution, research and development expansion, and strategic acquisition activities.

"We are closing this facility from a position of financial strength, not necessity," said Chief Executive Officer David Lazar in the announcement.

The company's disclosed strategic initiatives include finalizing its manufacturing facility acquisition through Quantum Drones Corporation, patent prosecution across its intellectual property portfolio, and development of its domestic defense technology manufacturing complex. The platform encompasses drone warfare, counter-unmanned aircraft systems, autonomous naval mine countermeasures, electromagnetic pulse-hardened drone components, anti-drone ammunition, and command-and-control applications.

Quantum Cyber describes itself as assembling an artificial intelligence-powered autonomous defense platform that integrates multiple defense technologies under a single publicly traded company.
