Phathom Pharmaceuticals announces public stock offering

Phathom Pharmaceuticals, Inc. (NASDAQ: PHAT) announced a proposed underwritten public offering of common stock and pre-funded warrants. The biopharmaceutical company said the offering is subject to market and other conditions.
The company plans to grant underwriters a 30-day option to purchase up to an additional 15% of the total securities offered. Phathom noted there is no assurance regarding whether or when the offering may be completed or its actual size and terms.
Phathom intends to use net proceeds for general corporate purposes, including working capital and commercialization and research and development expenses. Guggenheim Securities and Cantor are serving as joint bookrunning managers for the proposed offering.
The securities are being offered under a shelf registration statement filed with the Securities and Exchange Commission on January 7, 2026, which became effective automatically upon filing. The offering will be made through a written prospectus and prospectus supplement.
Phathom focuses on developing and commercializing treatments for gastrointestinal diseases. The company markets vonoprazan-based products in the United States, including VOQUEZNA tablets for heartburn relief and GERD treatment, and combination packs for H. pylori infection treatment in adults.
