OSR Holdings issues 2.3 million shares under structured financing
OSR Holdings Inc. (NASDAQ: OSRH) disclosed it has issued 2,308,382 shares under structured financing arrangements, according to a company statement.
The healthcare company reported the shares were distributed across three categories: 519,481 commitment shares, 745,193 shares from convertible notes, and 276,208 shares from warrant exercises.
Under its Equity Line of Credit agreement with White Lion GBM Innovation Fund, OSR Holdings has registered capacity for 9,500,000 shares. Since June 17, 2025, when the S-1/A became effective, the company has issued 767,500 shares, representing less than 10% of total registered shares.
"Proceeds from these financings are being invested directly into our business, enabling accelerated development across our drug R&D pipeline, medical device initiatives, and digital asset ecosystems," said Peter Hwang, CEO of OSR Holdings.
The company's development portfolio includes a bacterial vector platform for cancer immunotherapy, a disease-modifying osteoarthritis drug candidate, and plans to acquire noninvasive glucose monitoring technology through a signed term sheet with Woori IO.
Regarding the Woori IO transaction, Hwang stated that the company's clinical trial in Korea involves partnership with "one of the world's largest technology companies in the mobile and wearable devices space." OSR Holdings expects to complete the Stock Purchase Agreement by the end of October.
The Bellevue, Washington-based company operates as a healthcare holding company focused on immuno-oncology, regenerative biologics, and medical device distribution through its subsidiaries.
