Nebius underwriters exercise option for additional 1.6 million shares

Nebius Group N.V. (NASDAQ: NBIS) announced that underwriters exercised their option to purchase an additional 1,621,621 Class A shares at $92.50 per share in connection with the company's public offering.
The additional share purchase brings Nebius's aggregate gross proceeds from the Class A offering to approximately $1.15 billion, according to the company's statement. The initial closing of the Class A offering occurred on September 15.
Combined with the company's convertible notes offering to qualified institutional buyers, the aggregate proceeds from both offerings total approximately $4.3 billion. The convertible notes are due in 2030 and 2032.
Goldman Sachs & Co. LLC served as lead book-running manager for the offering. Morgan Stanley, BofA Securities and Citigroup acted as additional book-running managers.
The shares were offered under Nebius's shelf registration statement on Form F-3ASR filed with the Securities and Exchange Commission on May 2, 2025. The Amsterdam-headquartered company operates as an AI infrastructure provider with research and development facilities across Europe, North America and Israel.
Nebius also operates subsidiary businesses including Avride, which develops autonomous driving technology, and TripleTen, an education technology company focused on technology career training. The company holds equity stakes in ClickHouse and Toloka.
