Nations Royalty increases private placement to C$13 million

Nations Royalty Corp. (TSXV: NRC) announced it has increased the size of its previously announced private placement from C$10 million to C$13 million due to strong investor demand.



The company will issue 8.125 million units at C$1.60 per unit through underwriters Red Cloud Securities Inc. and Canaccord Genuity Corp. Each unit consists of one common share and one-half warrant, with each full warrant exercisable at C$2.25 for 36 months after closing.



The underwriters have an option to purchase an additional 1.25 million units for up to C$2 million in additional proceeds. The offering is scheduled to close on January 30, 2026, subject to regulatory approvals including TSX Venture Exchange approval.



Nations Royalty will pay the underwriters a 6% cash commission on gross proceeds and issue warrants equal to 6% of units sold, exercisable for 36 months at the offering price.



The company intends to use net proceeds for acquisitions of royalties, income and commodity streams, annual benefit payments and working capital purposes.



The units will be offered in Canada under the listed issuer financing exemption, with shares expected to be immediately tradeable. The securities will also be offered in the United States through private placement exemptions and in other jurisdictions on a private placement basis.



Nations Royalty focuses on combining royalties and benefit payment entitlements from resource projects while building Indigenous capacity in public companies and capital markets. The company currently holds annual benefit payment entitlements from five properties in Canada, including the Brucejack gold mine operated by Newmont Corporation.
