Monogram Technologies converts preferred stock to common shares

Monogram Technologies Inc. (NASDAQ: MGRM) announced the mandatory conversion of all outstanding shares of its 8.00% Series D Convertible Cumulative Preferred Stock into common stock, effective July 14, 2025.
The conversion was triggered after the company's common stock closed at or above $2.8125 per share for ten consecutive trading days ending July 7, 2025, according to the terms outlined in the Certificate of Designation. The company sent conversion notices to all preferred stockholders on July 7.
The Series D Preferred Stock was originally issued as part of units sold in an offering that closed on October 1, 2024. Each unit included one share of Series D Preferred Stock and one common stock purchase warrant.
Monogram Technologies develops AI-driven robotics technology for orthopedic surgery. The company has received FDA 510(k) clearance for its mBôs TKA System and FDA clearance for its mPress implants. The company's robotic surgical system is designed to enable precision insertion of orthopedic implants for knee replacement procedures.
The Austin, Texas-based company focuses on combining 3D printing, machine vision, artificial intelligence and robotics to create patient-optimized orthopedic implants. The company plans to produce and market robotic surgical equipment, orthopedic implants, tissue ablation tools, navigation consumables and related instrumentation for joint replacement procedures.
