Momentus raises $3.7 million through warrant inducement transaction

Momentus Inc. (NASDAQ: MNTS) announced a warrant inducement agreement with an existing institutional investor to exercise warrants for 4,862,058 shares of common stock at a reduced price of $0.77 per share, generating approximately $3.7 million in gross proceeds before fees.
The transaction involves the immediate exercise of August 2025 warrants. In exchange, the investor will receive new December 2025 unregistered warrants to purchase up to 7,293,087 shares at the same $0.77 exercise price. The new warrants will become exercisable upon stockholder approval and will expire five years from that approval date.
The closing is expected to occur around December 11, 2025, subject to customary conditions. Momentus plans to use the net proceeds for working capital and general corporate purposes.
Additionally, the company agreed to amend existing October 2025 warrants for 7,469,607 shares, reducing their exercise price from $1.43 to $0.77 per share, pending stockholder approval. If approval is not obtained within six months of the warrants' initial issuance, the exercise price will automatically adjust to the minimum price under Nasdaq listing rules.
A.G.P./Alliance Global Partners served as the exclusive financial advisor for the transaction. The new warrants were offered in a private placement to accredited investors and have not been registered under the Securities Act.
Momentus operates as a commercial space company providing satellite solutions, in-space transportation, and orbital infrastructure services for government and commercial customers.
