Moleculin raises $6.5 million through warrant exercises

Moleculin Biotech Inc. (NASDAQ: MBRX) announced it entered into agreements for the immediate exercise of outstanding warrants to purchase 1,044,329 shares of common stock for approximately $6.5 million in gross proceeds.
The warrants being exercised include 727,969 shares at $6.63 per share originally issued in February 2025 and 316,360 shares at $6.3219 per share originally issued in August 2025. The shares are registered under effective registration statements on Form S-1 and Form S-3.
As consideration for the immediate warrant exercises, Moleculin will issue new unregistered warrants to purchase up to 2,610,823 shares of common stock at an exercise price of $6.63 per share. The new warrants will be exercisable upon shareholder approval for a five-year term.
Roth Capital Partners and Maxim Group LLC are serving as financial advisors for the transaction. The company expects the transaction to close on or about December 11, 2025, subject to customary closing conditions.
Moleculin stated it intends to use the net proceeds for working capital and general corporate purposes. The company is a pharmaceutical company developing drug candidates for tumors and viruses, with its lead program Annamycin currently in Phase 3 development for acute myeloid leukemia and soft tissue sarcoma lung metastases.
The new warrants were offered through a private placement under an exemption from Securities Act registration requirements and have not been registered with the Securities and Exchange Commission. The company agreed to file a registration statement covering the resale of shares issuable upon exercise of the new warrants.
