Mesoblast files registration for warrant exercise shares

Mesoblast Limited (NASDAQ: MESO) filed a registration statement with the Securities and Exchange Commission for up to 5 million ordinary shares that may be issued upon warrant exercises by certain shareholders.
The registration statement on Form F-3 covers shares that would be represented by 500,000 American Depositary Shares, with each ADS representing 10 ordinary shares. The shareholders identified in the prospectus will be able to offer and sell these shares from time to time once the registration statement becomes effective.
Upon effectiveness of the registration, shareholders can deposit their ordinary shares issued through warrant exercises into Mesoblast's American Depositary Receipt program to receive ADSs. The new ADSs will carry the same rights as existing ADSs and may be offered for sale in the United States.
The filing relates specifically to the registration of shares issuable to shareholders upon exercise of Mesoblast warrants under the Securities Act of 1933.
