Medicus Pharma establishes $15.3 million at-the-market equity program

Medicus Pharma Ltd. (NASDAQ: MDCX) entered into an equity distribution agreement on December 29, 2025, with Maxim Group LLC and Yorkville Securities LLC to establish an at-the-market equity program worth up to $15,349,674.

Under the agreement, the company may sell common shares from time to time through the two firms acting as sales agents. Medicus Pharma will pay the agents a 3.0% commission on gross sales proceeds and reimburse reasonable documented costs and expenses, including legal fees.

Sales may occur through any method permitted by law for at-the-market equity offerings as defined in Rule 415 under the Securities Act of 1933, including direct sales on the Nasdaq Capital Market at market prices or as otherwise agreed with the agents.

The company has no obligation to sell shares under the agreement. The offering will terminate either when shares totaling $15,349,674 in aggregate offering price are sold or under other circumstances described in the agreement.

Shares will be issued pursuant to a Registration Statement on Form S-3 filed with the Securities and Exchange Commission on December 29, 2025. The shares cannot be sold until the registration statement becomes effective.
