MBX Biosciences files for 10 million share public offering

MBX Biosciences Inc. (NASDAQ: MBX) filed a registration statement with the Securities and Exchange Commission for a proposed public offering of 10 million shares of common stock, the clinical-stage biopharmaceutical company announced.
The company intends to grant underwriters a 30-day option to purchase up to an additional 1.5 million shares at the public offering price, minus underwriting discounts and commissions. The public offering price has not been determined.
J.P. Morgan, Jefferies, TD Cowen and Guggenheim Securities will serve as joint book-running managers for the offering. Citizens Capital Markets and Oppenheimer & Co. will act as co-lead managers.
The proposed offering remains subject to market and other conditions. The registration statement has been filed but has not yet become effective, and there is no assurance regarding whether or when the offering may be completed or its actual size and terms.
MBX Biosciences focuses on discovering and developing precision peptide therapies for endocrine and metabolic disorders using its proprietary PEP platform. The Carmel, Indiana-based company is advancing a pipeline of treatments targeting clinically validated pathways for conditions with significant unmet medical needs.
The securities cannot be sold until the registration statement becomes effective. The offering will be made only through a prospectus, with preliminary copies available from the underwriters.
