Lightwave Logic announces proposed public stock offering
Lightwave Logic Inc. (NASDAQ: LWLG) announced a proposed underwritten public offering of common stock, according to a company statement. The electro-optic polymer technology company expects to grant underwriters a 30-day option to purchase up to an additional 15% of the offered shares to cover over-allotments.
The company plans to use net proceeds for working capital and general corporate purposes. Lightwave Logic may allocate funds to accelerate commercialization, expand U.S. production capacity for customer partnerships, pursue strategic mergers and acquisitions, or invest in complementary technologies. The company stated it has no current agreements or commitments for acquisitions, mergers or investments.
Titan Partners serves as the sole bookrunner for the offering. The offering operates under a shelf registration statement filed with the Securities and Exchange Commission on Form S-3, which became effective August 5, 2024.
Lightwave Logic develops electro-optic polymers for data transmission applications in telecommunications and artificial intelligence support systems. The company's technology converts electrical signals into optical signals for higher-speed, lower-power data transmission in compact devices.
The offering will proceed through a preliminary prospectus supplement and final prospectus supplement with an accompanying base prospectus. Documents are available through the SEC website and Titan Partners Group LLC.
