LightPath Technologies prices $60 million stock offering at $7.75 per share

LightPath Technologies Inc. (NASDAQ: LPTH) announced the pricing of an underwritten public offering of 7.75 million shares of Class A common stock at $7.75 per share, generating gross proceeds of approximately $60 million before deducting underwriting discounts and other expenses.
The optics and imaging systems provider has granted underwriters a 30-day option to purchase up to an additional 1.16 million shares at the same price, less underwriting discounts and commissions. The offering is expected to close on or about December 15, 2025, subject to customary closing conditions.
Canaccord Genuity and Craig-Hallum are serving as joint bookrunners and representatives of the underwriters for the offering, while Lake Street is acting as co-manager.
LightPath stated it intends to use the net proceeds for working capital, investments, acquisitions, and general corporate purposes. The company provides optics and imaging systems for defense and commercial applications.
The offering is being conducted under a shelf registration statement on Form S-3 that was declared effective by the Securities and Exchange Commission on December 10, 2025. A preliminary prospectus supplement and accompanying prospectus have been filed with the SEC.
LightPath operates manufacturing facilities in Orlando, Florida, with additional locations in Texas, New Hampshire, Latvia, and China. The company offers custom solutions ranging from proprietary BlackDiamond chalcogenide-based glass materials to complete infrared optical systems and thermal imaging assemblies.
