LM Funding America prices $6.5 million registered direct offering

LM Funding America Inc. (NASDAQ: LMFA) entered into securities purchase agreements with institutional investors for a registered direct offering expected to generate approximately $6.5 million in gross proceeds before fees and expenses.
The Bitcoin treasury and mining company will issue 1,822,535 shares of common stock and 7,332,395 pre-funded warrants, along with warrants to purchase up to 9,154,930 shares of common stock. The combined offering price for each share or pre-funded warrant and accompanying warrant is $0.71.
The warrants carry an exercise price of $0.71 and will become exercisable upon stockholder approval. They will expire five years from the approval date. The company also agreed to reduce the exercise price on existing warrants for 3,472,740 shares from $2.95 to $0.87 and extend their term to five years, subject to stockholder approval.
The offering is expected to close on or about December 22, 2025, subject to customary closing conditions. Maxim Group LLC serves as the sole placement agent for the transaction.
The securities are being offered under a shelf registration statement on Form S-3 that was declared effective by the Securities and Exchange Commission on November 21, 2024. The Tampa, Florida-based company operates as a Bitcoin treasury and mining company and also runs a specialty finance business providing funding to nonprofit community associations primarily in Florida.
