K2 Gold seeks up to CAD $15 million through private placement

K2 Gold Corporation (TSXV: KTO) announced a non-brokered private placement to raise up to CAD $15 million through the issuance of up to 21,428,572 common shares at CAD $0.70 per share.



The shares will be offered to purchasers in Canadian provinces and territories, excluding Quebec, under the listed issuer financing exemption. The company stated the offering may also be extended to jurisdictions outside Canada on a private placement basis in accordance with applicable laws.



K2 Gold plans to use the net proceeds for exploration at its Mojave and Si2 projects and general corporate purposes. The Mojave project is a 5,830-hectare oxide gold project located in California, while the Si2 project is an epithermal gold system in Nevada.



The offering document is available on the company's website and SEDAR+ profile. Completion of the offering requires customary closing conditions, including regulatory approvals from the TSX Venture Exchange.



The company may pay finders' fees to eligible arm's length finders in connection with the offering. Securities not issued under the Listed Issuer Financing Exemption will be subject to a four-month hold period under Canadian securities laws.



The securities have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States without registration or an applicable exemption.
