Invivyd announces public offering of common stock

Invivyd Inc. (NASDAQ: IVVD) announced it has commenced an underwritten public offering of common stock shares. The biopharmaceutical company also intends to grant underwriters a 30-day option to purchase up to an additional 15% of the shares sold in the public offering at the public offering price, less underwriting discounts and commissions.
Cantor is serving as the sole book-running manager for the offering. The company stated the offering is subject to market and other conditions, with no assurance regarding completion, timing, or final terms.
Invivyd plans to use net proceeds from the offering, combined with existing cash and cash equivalents, for commercial preparedness for the potential launch of VYD2311, continued research and development for pipeline programs including respiratory syncytial virus and measles, and advancement of the Spike Protein Elimination and Recovery Study Group efforts related to monoclonal antibody therapy for Long COVID and COVID-19 Post-Vaccination Syndrome. Funds will also support working capital and general corporate purposes.
The securities are being offered under a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on September 28, 2022, and declared effective on October 5, 2022.
Invivyd develops protection against viral infectious diseases, beginning with SARS-CoV-2, using a proprietary integrated technology platform for antibody development. In March 2024, the company received emergency use authorization from the U.S. FDA for a monoclonal antibody in its pipeline.
