Invivyd announces public offering of common stock

Invivyd Inc. (NASDAQ: IVVD) announced it has commenced an underwritten public offering of common stock shares. The biopharmaceutical company intends to grant underwriters a 30-day option to purchase up to an additional 15% of the shares sold in the offering at the public offering price, less underwriting discounts and commissions.



Cantor is serving as sole book-running manager for the offering. The company stated the offering is subject to market and other conditions, with no assurance regarding completion timing or final size and terms.



Invivyd plans to use net proceeds from the offering, combined with existing cash and cash equivalents, for trial protocol development and advancement of its VYD2311 clinical program. Funds will also support research and development for pipeline programs including respiratory syncytial virus and measles treatments, advancement of the Spike Protein Elimination and Recovery Study Group efforts related to monoclonal antibody therapy for Long COVID and COVID-19 Post-Vaccination Syndrome, and general corporate purposes.



The securities are being offered under a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on September 28, 2022, and declared effective on October 5, 2022.



Invivyd is a biopharmaceutical company focused on delivering protection from viral infectious diseases, beginning with SARS-CoV-2. The company received emergency use authorization from the U.S. FDA for a monoclonal antibody in March 2024.



A preliminary prospectus supplement and accompanying prospectus will be filed with the SEC, with final terms disclosed in a final prospectus supplement to be filed later.
