Humacyte suspends $60 million stock offering program

Humacyte Inc. (NASDAQ: HUMA) terminated its at-the-market equity offering program on March 19, 2026, according to a company statement.
The biotechnology company delivered written notice to TD Securities (USA) LLC, which served as the sales agent, suspending the prospectus dated December 16, 2025. The prospectus covered the potential sale of up to $60 million of the company's common stock.
The company stated it will not conduct further stock sales under the existing sales agreement unless a new prospectus, prospectus supplement or registration statement is filed. The underlying sales agreement with TD Securities remains in effect despite the prospectus termination.
The at-the-market program allowed Humacyte to sell shares directly into the public market at prevailing prices rather than through a traditional underwritten offering. The company did not specify the reason for suspending the program or indicate whether it had completed any sales under the arrangement.
