Grizzly Discoveries closes private placement raising $349,044

Grizzly Discoveries Inc. (TSXV: GZD) (FSE: G6H) (OTCQB: GZDIF) closed a private placement between June 16 and June 19, 2026, issuing 4,525,292 Units, 562,500 flow-through units, and 110,000 critical mineral flow-through units for gross proceeds of $349,044.



Each Unit was priced at $0.065 and included one common share and one warrant to purchase an additional common share at $0.12, expiring either 30 days after the volume-weighted average trading price reaches CA$0.18 for 10 consecutive trading days, or after 36 months. Flow-through units were priced at $0.08 each, and critical mineral flow-through units at $0.09 each, both including one common share and one-half of one warrant.



The company said proceeds from standard units will be used for mineral property acquisition, exploration, and general working capital. Flow-through unit proceeds are earmarked for mineral property exploration, with critical mineral flow-through proceeds directed specifically toward critical mineral exploration under Canada's Income Tax Act.



Finder fees were paid to four firms: Canaccord Genuity Corp. received $2,340 cash and 36,000 finder warrants; Raymond James Limited received $2,694 cash and 32,850 finder warrants; Leede Financial Inc. received $1,498 cash and 23,040 finder warrants; and Haywood Securities Inc. received $1,229 cash and 18,900 finder warrants.



Following the closing, Grizzly has 232,838,034 common shares issued and outstanding. Shares issued under the offering are subject to a four-month trading restriction expiring between October 17 and October 20, 2026. The offering remains subject to final acceptance by the TSX Venture Exchange.



Grizzly is a Canadian mineral exploration company focused on approximately 72,700 hectares of precious and base metals properties in southeastern British Columbia.
