Grizzly Discoveries closes $153,000 private placement
Grizzly Discoveries Inc. (TSXV: GZD) completed a non-brokered private placement on November 7, 2025, raising gross proceeds of $153,000, according to a company statement.
The offering consisted of 3.4 million units and 1.7 million flow-through units, each priced at $0.03. Each unit includes one common share and one warrant allowing the holder to purchase an additional share for $0.05. The warrants expire on November 7, 2027, or 30 days after the company provides written notice that shares have traded at or above CA$0.10 for 10 consecutive days.
The company plans to allocate $51,000 of the proceeds to mineral property exploration, $37,000 to working capital including outstanding management fees and accounts payable, and $65,000 to corporate overhead expenses.
An insider purchased 3.4 million units for $102,000, representing a related-party transaction under securities regulations. The transaction qualified for exemptions from formal valuation and minority approval requirements as it did not exceed 25% of the company's market capitalization.
Following the closing, Grizzly has 177,630,622 common shares outstanding. The new shares are subject to trading restrictions until March 8, 2026. The company did not pay commissions or finder's fees for the offering.
The Edmonton-based mineral exploration company focuses on developing approximately 72,700 hectares of precious and base metals properties in southeastern British Columbia. The offering remains subject to final acceptance by the TSX Venture Exchange.
