Genius Group raises $8 million through registered direct offering
Genius Group Limited (NYSE: GNS) closed a registered direct offering on April 16, 2026, raising $8 million in gross proceeds before commissions and expenses, according to a press release statement.
The education company sold 21,621,621 ordinary shares or pre-funded warrants in lieu thereof. D. Boral Capital LLC served as the exclusive placement agent for the transaction.
The offering was conducted under Genius Group's shelf registration statement on Form F-3, which was filed with the Securities and Exchange Commission and declared effective on July 18, 2025.
Genius Group describes itself as an AI-powered education group that serves 6 million users in over 100 countries through its Genius School, Genius Academy, Genius Resorts, and Genius City models. The company provides education and acceleration solutions for entrepreneurial and AI-focused learning.
D. Boral Capital is a New York-based investment bank that claims to have aggregated approximately $35 billion in capital since its inception in 2020 across approximately 400 transactions. The firm is a member of FINRA and SIPC.
