GameStop to distribute warrants to shareholders in October

GameStop Corp. (NYSE: GME) will distribute warrants to common stockholders as of October 3, 2025, according to a securities registration filing.

The company plans to distribute the warrants on October 7, 2025. Shareholders will receive one warrant for every ten shares of common stock held as of the record date.

Each warrant will allow holders to purchase one share of GameStop common stock at an exercise price of $32.00. The company has applied to list the warrants on the New York Stock Exchange under the symbol "GME WS."

Holders of GameStop's convertible senior notes due 2030 and 2032 will also receive warrants on the same terms as common stockholders, without needing to convert their notes. The warrant distribution to noteholders will be calculated based on the conversion rate applicable to the convertible notes and the principal amount held.

GameStop will not issue fractional warrants, with any fractions rounded down. For example, shareholders owning 166 shares would receive 16 warrants, while those holding 333 shares would receive 33 warrants.

The warrant agreement will be established between GameStop and Computershare Trust Company, N.A., which will serve as the warrant agent. The information is based on GameStop's securities registration statement.
