FibroBiologics completes $1.5 million stock offering at $0.335 per share

FibroBiologics Inc. (NASDAQ: FBLG) completed a registered direct offering of 4,477,614 shares of common stock at $0.335 per share, raising approximately $1.5 million in gross proceeds before fees and expenses.
The biotechnology company also issued warrants to purchase an additional 4,477,614 shares at the same exercise price of $0.335 per share in a concurrent private placement. The warrants will become exercisable upon stockholder approval and will expire five years after that approval date.
H.C. Wainwright & Co. served as the exclusive placement agent for the offering. If all warrants are exercised for cash, the company could receive an additional $1.5 million in gross proceeds, though no assurance exists that stockholder approval will be obtained or that the warrants will be exercised.
FibroBiologics plans to use the net proceeds for working capital and general corporate purposes. The company describes itself as a clinical-stage biotechnology firm focused on developing treatments for chronic diseases using fibroblast cells and fibroblast-derived materials.
The common stock offering was conducted under a shelf registration statement filed with the Securities and Exchange Commission in February 2025. The warrants and shares issuable upon their exercise were offered through a private placement and have not been registered under federal securities laws.
The Houston-based company reports holding more than 270 issued and pending patents across various clinical pathways including wound healing, multiple sclerosis, disc degeneration, and cancer treatment applications.
