Evogene raises $3.4 million through warrant inducement transaction

Evogene Ltd. (NASDAQ: EVGN) announced a warrant inducement agreement with an institutional investor for the exercise of existing warrants to purchase up to 3,384,616 ordinary shares at a reduced exercise price of $1.00 per share, generating gross proceeds of approximately $3.4 million.

The computational chemistry company said the investor will exercise warrants issued in August 2024 and receive new warrants as consideration. The new Series A-1 warrants will allow purchase of up to 2,538,462 ordinary shares, while Series B-1 warrants cover the same number of shares. Both new warrant series carry an exercise price of $1.25 per share.

The Series A-1 warrants expire five years from issuance, while Series B-1 warrants expire in 18 months. The transaction is expected to close on or about February 11, 2026, subject to customary closing conditions.

Evogene intends to use net proceeds for working capital and general corporate purposes. A.G.P./Alliance Global Partners serves as the sole financial advisor for the transaction.

The new warrants were offered in a private placement to accredited investors under an exemption from Securities Act registration requirements. Evogene agreed to file a registration statement with the Securities and Exchange Commission covering resale of ordinary shares issuable upon exercise of the new warrants.

The Israel-based company specializes in generative design of small molecules for pharmaceutical and agricultural industries using its ChemPass AI technology platform.
