Dole shareholders launch secondary offering of 11.9 million shares

Dole plc (NYSE: DOLE) announced that two of its shareholders will sell 11,917,263 ordinary shares in an underwritten secondary offering. Castle & Cooke Holdings, Inc. and The Murdock Group, LLC are the selling shareholders in the transaction.
The company will not sell any shares in the offering and will not receive proceeds from the sale. Goldman Sachs & Co. LLC serves as the underwriter and sole book-running manager for the offering.
The shares are being offered through an automatically effective shelf registration statement on Form F-3 that was filed with the Securities and Exchange Commission on September 3, 2025. The selling shareholders will sell their shares to the underwriter at the public offering price minus underwriting discounts and commissions.
Dole produces, markets and distributes fresh fruits and vegetables, operating in over 85 countries. The company's ordinary shares trade on the New York Stock Exchange under the ticker symbol "DOLE."
