Cresco Labs establishes $100 million at-the-market offering program

Cresco Labs Inc. (OTCQX: CRLBF) announced it entered into an equity distribution agreement with Haywood Securities Inc. to establish an at-the-market offering program allowing the cannabis company to sell up to $100 million of subordinate voting shares.

The Chicago-based cannabis company stated it intends to use net proceeds from the ATM program for general corporate purposes, including potential future acquisitions. The program provides flexibility for opportunistic capital raising based on market conditions and equity valuation.

"Establishing this ATM program provides us with another flexible tool to support our strategic objectives as the industry continues to mature and federal reform progresses," said Charlie Bachtell, CEO of Cresco Labs.

Under the agreement, shares will be sold at prevailing market prices on the Canadian Securities Exchange. The volume and timing of any sales will be determined at management's discretion. No shares have been sold under the program to date.

The offering is being conducted through a prospectus supplement dated January 29, 2026, filed under the company's base shelf prospectus from October 3, 2025, with Canadian securities regulatory authorities.

Cresco Labs operates cannabis cultivation, production and retail facilities, with brands including Cresco, High Supply, and FloraCal. The company also runs Sunnyside dispensaries across multiple states.

The securities described in the announcement have not been registered under U.S. securities laws and may not be offered or sold in the United States except under specific exemptions.
