January 20, 2026 4:26 PM EST

Corvus Pharmaceuticals Inc. (NASDAQ: CRVS) suspended its registered underwritten public offering of common stock shares on January 20, 2026, according to a company statement.

The company notified Jefferies LLC of the suspension of its at-the-market offering program that was established under a prospectus supplement filed with the Securities and Exchange Commission on August 6, 2024. The program operated under the company's shelf registration statement that became effective on August 15, 2024.

The suspended offering covered the potential sale of up to $100 million worth of common stock shares with a par value of $0.0001 per share. No shares had been sold under the program prior to the suspension, leaving the full $100 million available for future sales.

The Open Market Sale Agreement between Corvus Pharmaceuticals and Jefferies, dated August 6, 2024, remains in effect despite the suspension. The company stated it will not proceed with any stock sales under the agreement until a new prospectus supplement or registration statement is filed with the SEC.

The suspension affects the company's ability to raise capital through this particular equity offering mechanism while maintaining the framework for potential future sales.
