CompoSecure completes $688.7 million Husky acquisition and $1.96 billion funding

CompoSecure (NASDAQ: CMPO) completed its acquisition of Husky Technologies Limited on January 12, 2026, for aggregate consideration of approximately $688.7 million in cash and 54,978,334 shares of Class A Common Stock.

Concurrently with the acquisition closing, the company completed a private placement with institutional investors, issuing 106,056,083 shares of Common Stock at $18.50 per share for aggregate proceeds of approximately $1.96 billion.

The transaction was originally announced on November 2, 2025, when CompoSecure entered into a share purchase agreement with Husky, Platinum Equity Advisors and certain affiliated entities. Platinum served as the seller in the transaction.

As part of the transaction structure, CompoSecure entered into an Investor Rights Agreement with PE Titan CS Holdings L.P., an affiliate of Platinum. Under this agreement, the Platinum affiliate has the right to nominate two members to CompoSecure's board of directors while it holds at least 10% of outstanding shares, and one board member while holding between 5% and 10% of shares.

The Platinum affiliate agreed to a 90-day lock-up period following the transaction closing, subject to early release by the company. The agreement also allows the Platinum affiliate to freely pursue business opportunities.

CompoSecure also entered into a Registration Rights Agreement providing for the filing of a shelf registration statement with the SEC for the resale of certain shares held by transaction parties. The Platinum affiliate will be entitled to make up to two demand registrations in any 12-month period for underwritten shelf takedown offerings, subject to certain conditions and thresholds.
