Chicago Atlantic BDC files for $500 million shelf registration

Chicago Atlantic BDC, Inc. (NASDAQ: LIEN) filed a shelf registration statement with the Securities and Exchange Commission that would allow the company to issue up to $500 million of securities, including debt securities, according to a company statement.
The business development company said the registration statement has been filed but has not yet become effective. The shelf registration is designed to provide financial flexibility for accessing capital markets to support portfolio growth.
Net proceeds from any security sales may be used for general corporate purposes, including investments aligned with the company's investment strategies, debt repayment, operating expenses and other corporate needs, the company stated.
"This shelf registration represents a key step in advancing Chicago Atlantic BDC's growth strategy, building on the momentum from our $100 million credit facility which closed in February 2025," said Peter Sack, Chief Executive Officer. "It provides enhanced flexibility to access debt capital and accelerate portfolio expansion as we continue to see a robust pipeline of compelling opportunities."
Chicago Atlantic BDC is a specialty finance company that operates as a business development company under the Investment Company Act of 1940. The company focuses on direct loans to privately held middle-market companies, with particular emphasis on cannabis companies.
The company noted that securities cannot be sold until the registration statement becomes effective, and the announcement does not constitute an offer to sell securities.
