BrandPilot AI announces $750,000 private placement offering

BrandPilot AI Inc. (CSE: BPAI) announced a non-brokered private placement offering of up to 37.5 million units at $0.02 per unit, seeking to raise up to $750,000 in gross proceeds.



Each unit consists of one common share and one warrant. The warrants allow holders to purchase additional common shares at $0.05 for five years from the closing date. The warrants include an acceleration clause that permits the company to shorten the expiry period to 30 days if shares trade at or above $0.15 volume-weighted average price for 20 consecutive trading days.



The company plans to allocate the net proceeds as follows: 40% toward product development and engineering, 35% toward sales and marketing initiatives, and 25% toward general working capital and corporate purposes.



"The proceeds from this financing are intended to support continued investment in product development, marketing initiatives, and business development activities," said Brandon Mina, chief executive officer of BrandPilot AI.



The offering is scheduled to close on May 14, 2026, subject to regulatory approvals and acceptance by the Canadian Securities Exchange. The company may pay finders' fees of up to 8% in cash and broker warrants equal to 8% of units sold to eligible finders.



All securities issued will be subject to a four-month and one-day statutory hold period from the issuance date.
