BioSig Technologies secures up to $1.1 billion in growth financing

BioSig Technologies Inc. (NASDAQ: BSGM) announced it has entered into definitive agreements with an institutional investor for up to $1.1 billion in growth financing to support its gold-backed treasury management strategy and real-world asset tokenization platform.
The financing includes $100 million in senior secured convertible debentures and a $1 billion equity line of credit. The debentures carry a 24-month maturity and accrue interest at 4% per annum, increasing to 18% upon default. The debentures are priced at 96% of principal amount and are convertible into common stock.
BioSig recently merged with Streamex Exchange Corporation, which operates a blockchain-based platform for tokenizing commodities using Solana technology. The company plans to hold significant quantities of gold bullion through allocated vaulting with a bullion bank.
The transaction is expected to close in phases, with $75 million in debentures and the equity line of credit closing around October 7, 2025, subject to shareholder approval required by Nasdaq listing rules. The remaining $25 million in debentures will close after additional conditions are met, including SEC registration statement effectiveness.
Cantor Fitzgerald & Co. and Clear Street LLC served as co-lead placement agents, with Needham & Company LLC as co-placement agent. CIBC World Markets acted as strategic advisor to BioSig's board.
CEO Henry McPhie stated the financing positions the company to "unlock liquidity, transparency, and accessibility across the $142 trillion commodities market." The company cites Boston Consulting Group data projecting the real-world asset tokenization market to reach $16 trillion by 2030.
BioSig operates a medical device technology business focused on electrophysiology equipment, while Streamex functions as its wholly-owned subsidiary specializing in commodity tokenization.
