Beyond Air raises $3.25 million through warrant exercise agreement

Beyond Air Inc. (NASDAQ: XAIR) entered into an agreement for the immediate exercise of outstanding warrants to purchase 1,439,126 shares of common stock at a reduced exercise price of $2.21 per share. The medical device and biopharmaceutical company expects to receive gross proceeds of approximately $3.25 million before deducting placement agent fees and expenses.

The warrant holders agreed to exercise their existing warrants at the closing price of Beyond Air's stock from September 5, 2025. In exchange for the immediate cash exercise, the company will issue new unregistered warrants to purchase up to 719,561 shares at a purchase price of $0.0625 per warrant.

The new warrants carry an exercise price of $2.21 per share, are exercisable immediately, and have a five-year term. Laidlaw & Company (UK) Ltd. serves as the exclusive placement agent for the offering.

Beyond Air expects the transaction to close on or around September 9, 2025, subject to customary closing conditions. The company plans to use net proceeds to advance clinical and pre-clinical programs and for operating expenses and working capital.

The new warrants are being offered through a private placement under Section 4(a)(2) of the Securities Act of 1933 and have not been registered under federal or state securities laws. Beyond Air has agreed to file a registration statement with the SEC covering the resale of shares issuable upon exercise of the new warrants.

Beyond Air focuses on nitric oxide-based treatments for respiratory illnesses, neurological disorders, and solid tumors. The company received FDA approval for its LungFit PH system for treating neonates with hypoxic respiratory failure.
