Battery Mineral Resources launches $10M-$25M private placement at $0.20/share

Battery Mineral Resources Corp. (TSXV: BMR) (OTCQB: BTRMF) announced a non-brokered private placement offering to raise between $10 million and $25 million through the sale of 50 million to 125 million common shares at $0.20 per share.

The Vancouver-based company will issue shares under the Listed Issuer Financing Exemption, making them immediately tradeable without a hold period under Canadian securities laws. The offering will be available to purchasers in all Canadian provinces and territories except Quebec, as well as in the United States and other international jurisdictions through private placement exemptions.

Battery Mineral Resources plans to use proceeds to advance processing plant operations and planned underground development at its Punitaqui Mining Complex in Chile's Coquimbo region, along with general working capital purposes. The offering is expected to close around February 20, 2026, subject to regulatory approvals including from the TSX Venture Exchange.

The company may pay finder's fees to eligible participants in connection with the offering, subject to applicable securities laws and exchange policies. An offering document is available through the company's SEDAR+ profile and website.

This placement is separate from a previously announced non-brokered private placement of up to 174.4 million shares at $0.20 per share disclosed in January 2026, which the company continues to pursue subject to applicable conditions and TSXV approval.

Battery Mineral Resources operates the Punitaqui Mining Complex, a copper, gold and silver-producing mine in Chile, and owns ESI Energy Services Inc. along with North American mineral exploration assets.
