Bakkt establishes $300 million at-the-market equity program

Bakkt Holdings, Inc. (NYSE: BKKT) announced it has established an at-the-market equity program that allows the company to sell up to $300 million in common stock at its discretion. The program operates under the company's existing shelf registration statement filed in June 2025.

No shares have been sold under the program as of the announcement date. The company stated it has no obligation to issue shares and will do so only when management believes such issuances benefit the company and shareholders.

Bakkt said the program is designed to enhance financial flexibility and enable the company to pursue growth opportunities. The company indicated it plans to use potential proceeds to expand its Bakkt Agent initiative, scale Zaira's stablecoin payments platform, and increase investment in its Bakkt Global initiative, including expansion plans in Japan and India.

The New York-based company, founded in 2018, provides digital asset infrastructure solutions including Bitcoin services, tokenization, stablecoin payments, and finance technology for institutional clients.

The announcement was made through a press release and included standard disclaimers stating the release does not constitute an offer to sell securities.
