Azitra raises $1.5 million in private placement at premium pricing
Azitra, Inc. (NYSE American: AZTR) announced it has entered into a securities purchase agreement with a single institutional investor for a $1.5 million private placement. The biopharmaceutical company will issue 4,687,500 shares of common stock or pre-funded warrants, along with warrants to purchase an additional 4,687,500 shares.
The combined offering price for each share and accompanying warrant is $0.32. The warrants carry an exercise price of $0.32 per share and will expire five years after shareholder approval, which is required before the warrants become exercisable.
The transaction is priced at a premium to market under NYSE rules. Maxim Group LLC serves as the sole placement agent for the offering, which is expected to close on November 25, 2025, subject to customary closing conditions.
The securities are being sold through a private placement under Section 4(a)(2) of the Securities Act of 1933 and Regulation D. The company has agreed to file a registration statement with the Securities and Exchange Commission to register the resale of the securities purchased in the private placement.
Azitra is a clinical-stage biopharmaceutical company focused on precision dermatology treatments. The company's lead program, ATR-12, uses an engineered strain of S. epidermidis to treat Netherton syndrome, a rare skin disease with no approved treatments. ATR-04, another clinical program, targets skin toxicity associated with EGFR inhibitor treatments and has received Fast Track designation from the FDA.
