Autonomix Medical raises $5 million in private placement

Autonomix Medical Inc. (NASDAQ: AMIX) announced it has entered into a securities purchase agreement with an institutional investor for a $5 million private placement priced at market under Nasdaq rules.



The medical device company will issue 4,501,666 shares of common stock or pre-funded warrants, along with Series C warrants to purchase up to 9,003,332 additional shares. The combined offering price for each share and accompanying warrant is $1.1107.



The Series C warrants carry an exercise price of $0.8607 per share, are exercisable immediately, and expire five and one-half years from the issuance date. The transaction is expected to close on or about November 19, 2025, subject to customary closing conditions.



Maxim Group LLC serves as the sole placement agent for the offering. The company will receive approximately $5 million in gross proceeds before deducting placement agent fees and other expenses.



The securities are being sold in a private placement under Section 4(a)(2) of the Securities Act of 1933 and have not been registered under federal or state securities laws. Autonomix has agreed to file a registration statement with the Securities and Exchange Commission for the resale of the securities.



Autonomix develops medical device technology focused on nervous system diseases, including a catheter-based sensing system for detecting neural signals. The company is initially developing the technology for pain treatment, with trials focused on pancreatic cancer patients.
