Aprea Therapeutics closes $30 million private placement

Aprea Therapeutics Inc. (NASDAQ: APRE) completed a $30 million private placement financing that closed on March 31, 2026, according to a company statement.
The clinical-stage oncology company sold pre-funded warrants to purchase approximately 37.2 million shares of common stock at $0.807 per warrant, along with warrants to purchase an additional 37.2 million shares at an exercise price of $0.683 per share. The warrants are exercisable immediately and expire on December 31, 2029.
Soleus Capital led the private placement, with participation from new investors Vestal Point Capital and Squadron Capital Management, along with existing investors and company insiders. Oppenheimer & Co. Inc. served as lead placement agent, with Maxim Group LLC as co-lead placement agent.
The company plans to use proceeds for general corporate purposes and research and development expenses, including advancement of its ACESOT-1051 study. Aprea intends to enroll at least 50 patients with uterine serous carcinoma and cyclin E-overexpressing, platinum-resistant ovarian cancer to evaluate its APR-1051 drug candidate.
"This transformational financing is a significant commitment by top-tier biotech investors who believe in the potential of APR1-1051 to impact the lives of cancer patients," said Oren Gilad, the company's president and CEO.
APR-1051 is an oral inhibitor of WEE1 kinase currently in clinical development. The company also has ATRN-119, an ATR inhibitor, in development for solid tumor indications.
The securities were sold under Section 4(a)(2) of the Securities Act and have not been registered. Aprea agreed to file a registration statement with the Securities and Exchange Commission for resale of the securities.
