AlphaTON Capital files $420.69 million shelf registration

AlphaTON Capital Corp (NASDAQ: ATON) filed a $420.69 million shelf registration statement after exiting SEC "baby-shelf rules" that restrict companies with public floats under $75 million from issuing securities exceeding one-third of their public float within 12 months.

The company stated it plans to use the registration to finance AI and high-performance computing infrastructure for Telegram's Cocoon AI network and pursue acquisitions of revenue-generating companies within the Telegram ecosystem.

"Exiting the SEC's 'baby-shelf' limitations on raising capital marks an important milestone in AlphaTON Capital's transformation into a leading infrastructure provider for the next generation of decentralized AI," said Chief Executive Officer Brittany Kaiser.

AlphaTON Capital outlined three strategic areas for deployment: partnerships with Telegram distribution applications across fintech, gaming, health and sports sectors; mergers and acquisitions of companies generating revenue within the Telegram ecosystem focused on payments, content distribution and blockchain services; and expansion of GPU infrastructure supporting Telegram's Cocoon AI network.

The company said it has existing partnerships with CUDO Compute and AtNorth data centers and previously deployed Nvidia B200 GPUs. AlphaTON Capital also maintains a policy of acquiring TON tokens and other digital assets within the Telegram ecosystem.

The shelf registration requires SEC effectiveness before the company can utilize the financing capacity. AlphaTON Capital describes itself as a technology company focused on scaling Telegram's platform, which the company states has 1 billion monthly active users.
