Aclarion raises $10.36 million in registered direct offering

Aclarion Inc. (NASDAQ: ACON) completed a registered direct offering expected to generate approximately $10.36 million in gross proceeds before fees and expenses.

The company entered into a securities purchase agreement on January 8, 2026, to sell 200,000 shares of common stock at $5.18 per share and pre-funded warrants to purchase up to 1.8 million additional shares. The offering is expected to close on January 9, 2026.

The pre-funded warrants carry an exercise price of $0.00001 and are immediately exercisable. Warrant holders face ownership limitations of either 4.99% or 9.99% of outstanding shares, with the ability to adjust this percentage up to 9.99% with 61 days' notice to the company.

Aclarion plans to use the net proceeds for market development, clinical evidence including The Clarity Trial, product development, quality initiatives, general administration support, and other corporate purposes.

Dawson James Securities Inc. served as the exclusive placement agent for the offering and will receive a 6.0% cash fee based on gross proceeds plus reimbursement for certain expenses.

The offering operates under an effective registration statement filed with the Securities and Exchange Commission in April 2025 and declared effective in May 2025. A prospectus supplement was filed on January 9, 2026.
