Thoma Bravo completes Dayforce acquisition

Thoma Bravo completed its acquisition of Dayforce Inc. (NYSE: DAY) on February 4, 2026, according to a company statement. The transaction was executed through Dayforce Bidco LLC, an affiliate of the private equity firm.
The acquisition was conducted pursuant to a merger agreement dated August 20, 2025. Under the terms of the deal, Dawn Acquisition Merger Sub Inc. merged with Dayforce, with Dayforce surviving as a wholly owned subsidiary of Dayforce Bidco LLC.
Multiple Thoma Bravo funds participated in the transaction, including Thoma Bravo Fund XIV, XV, and XVI series funds, along with associated executive and employee funds. The acquiring entities are affiliates of Thoma Bravo L.P.
The completion of this merger removes Dayforce from public trading on the New York Stock Exchange. The human capital management software company had been publicly traded prior to the acquisition.
